Our Methodology
Total transparency on our SEC Form 4 insider transaction analysis algorithm. 100% algorithmic, 0% human bias.
Data Source
All our data comes exclusively from SEC Form 4 filings, official documents filed by insiders of US companies with the Securities and Exchange Commission (SEC).
We collect this data via OpenInsider.com, a recognized official aggregator of SEC filings. Our system performs daily scraping of transactions from the previous trading day.
Daily volume: Our algorithm analyzes an average of over 1000 insider transactions per trading day, from thousands of US-listed companies.

Filtering Criteria
Among thousands of daily transactions, our algorithm applies strict filters to identify potentially significant transactions:
- Transaction type: Purchases onlyWe only track PURCHASE transactions (P - Purchase). Sales are excluded as they may be motivated by personal reasons (diversification, liquidity).
- Minimum amountOnly transactions exceeding a significant threshold are retained. Symbolic or low-amount purchases are filtered out.
- Insider hierarchyTransactions are weighted according to role: CEOs and CFOs have maximum weight, followed by Presidents, VPs, and shareholders holding more than 10% of capital.
- Ownership changeThe percentage increase in shares held by the insider is analyzed. Doubling one's position is more significant than a marginal increase.
- Cluster detectionWhen multiple insiders from the same company buy simultaneously (clustering), the significance score is increased. A consensus of insiders is a quantitative factor taken into account by the algorithm.
- Market regime filterOur algorithm incorporates market indicators (bullish/bearish trends) to contextualize transactions. Insider purchases during corrections are particularly notable.
Scoring Algorithm
Each filtered transaction receives a score from 0 to 10 calculated by a proprietary weighting system. Here are the main factors taken into account:
Transaction amount
High-amount transactions receive a higher score. A multi-million dollar purchase signals substantial confidence.
Insider rank
CEOs and CFOs receive maximum weightings. Presidents and VPs are weighted moderately. Transactions vary in significance according to strategic proximity.
Ownership change
The percentage increase in shares held is a key indicator. Doubling one's position is more significant than a 5% increase.
Cluster multiplier
When multiple insiders buy simultaneously, a multiplier is applied to the score. 3+ insiders buying = increased significance score.
Regime adjustment
Market context (bullish, bearish, volatile) modulates the score. Counter-trend purchases can be particularly notable.
Important note: Exact weightings are proprietary to preserve our competitive advantage, but the methodology remains consistent and reproducible. Only scores exceeding a quality threshold are included in the Top 10.
Curation Process
Our curation pipeline is fully automated, with no human intervention in transaction selection:
- Daily (Premium Offer)Premium subscribers receive the day's Top 10, every trading day, with enriched dashboard and detailed analyses.
- Weekly (Free Offer)The free newsletter aggregates scores over 5 trading days and delivers the week's Top 10 (simplified text format).
- Zero editorial interventionNo human selects, modifies, or prioritizes transactions. The algorithm is the sole decision-maker, ensuring objectivity and reproducibility.
